    LondonMetric Property finalise l’acquisition de Highcroft Investments

    (Alliance News) – Highcroft Investments PLC a annoncé mercredi que son rachat par la société immobilière cotée à Londres LondonMetric Property PLC était désormais effectif.

    Les actions de la société d’investissement immobilier basée à Oxford, en Angleterre, cesseront d’être cotées à l’International Stock Exchange jeudi matin.

    Les deux sociétés ont convenu des conditions de l’opération entièrement en actions à la fin du mois de mars, selon lesquelles les actionnaires de Highcroft auraient droit à 4,65 nouvelles actions LondonMetric pour chaque action Highcroft détenue.

    L’accord valorise chaque action Highcroft à 842,1 pence et le capital social total de Highcroft à environ 43,8 millions de livres sterling.

    Les avantages convenus par les deux conseils d’administration pour les actionnaires comprenaient notamment la possibilité pour les actionnaires de Highcroft de « concrétiser une prime importante » et de conserver leur investissement dans un véhicule hautement coté et plus liquide, bénéficiant d’un « historique de 10 ans de croissance ininterrompue des dividendes ».

    Pour LondonMetric, cette transaction s’inscrit dans son objectif de « posséder et gérer des biens immobiliers attractifs qui répondent aux demandes des occupants, génèrent des revenus fiables, réguliers et croissants et offrent une performance supérieure à long terme ».

    Paul Leaf-Wright, directeur général de Highcroft, Charles Butler, président non exécutif, Roberta Miles, directrice financière, et David Warlow et Douglas Conn, administrateurs, ont démissionné du conseil d’administration de Highcroft avec effet immédiat.

    Mercredi matin, l’action LondonMetric reculait de 1,2 % à 194,31 pence à Londres. Le titre a perdu 6,6 % au cours de l’année écoulée.
