Tema Announces Liquidation of Two ETFs

    July 2, 2025

NEW YORK, July 02, 2025–(BUSINESS WIRE)–After careful consideration, Tema ETFs LLC, investment adviser to Tema Luxury ETF and the Tema Neuroscience and Mental Health ETF (the “Funds”), has recommended, and the Board of Trustees of Tema ETF Trust has approved, the termination and liquidation of the Funds. Accordingly, the Funds are expected to cease operations and liquidate on or about August 1, 2025 (the “Liquidation Date”).

The Funds will be closed to orders for new creation units on July 28, 2025, effective post close on July 25, and the last day of trading of the Funds’ shares on the NYSE Arca, Inc. and NASDAQ Stock Market LLC, respectively, will be July 30, 2025. From July 28 through the last day of trading, shareholders may only be able to sell their shares using certain broker-dealers, and there is no assurance that there will be a market for the Funds’ shares during that time period. Customary brokerage charges may apply to such transactions. From the last day of trading through the Liquidation Date, shareholders will not be able to purchase or sell shares in the secondary market.

In anticipation of the liquidation, the Funds will be managed in a manner intended to facilitate their orderly liquidation, such as by raising cash or making investments in other highly liquid assets. As a result, in preparation for the liquidation, all or a portion of the Funds may not be invested in a manner consistent with their stated investment strategies, which may prevent the Funds from achieving their investment objectives. Tema ETFs LLC will bear all fees and expenses that may be incurred in connection with the liquidation of the Funds and the distribution of cash proceeds to investors.

On or about the Liquidation Date, the Funds will liquidate their assets and distribute cash pro rata to all remaining shareholders. These distributions are taxable events and shareholders should consult their tax advisor about the potential tax consequences. In addition, these payments to shareholders may include accrued capital gains and dividends, if any. As calculated on the Liquidation Date, the Funds’ net asset values will reflect the costs of liquidating the Funds. Once the distributions are complete, the Funds will terminate.

If you would like additional information, please call 888-744-1377 or visit www.temaetfs.com/LUX and www.temaetfs.com/MNTL.

Shares of the Funds are bought and sold at a market price rather than net asset value (“NAV”). Shares of the Funds are not individually redeemed from the Funds. NAV is calculated using prices as of 4:00 PM Eastern Time. Brokerage commissions will reduce returns.

Investing involves risk, including the possible loss of principal. Carefully consider the Funds’ investment objectives, investment strategies, risk factors, charges and expenses before investing. This and additional information can be found in the Funds’ prospectus, which may be obtained by visiting www.temaetfs.com. Read the prospectus carefully before investing.

Investing involves risk including possible loss of principal. There is no guarantee the adviser’s investment strategy will be successful.

Industry Concentration Risk: because the Funds’ assets will be concentrated in an industry or group of industries, the Funds are subject to loss due to adverse occurrences that may affect that industry or group of industries.

Sector Focus Risk: the Funds may invest a significant portion of their assets in one or more sectors and thus will be more susceptible to the risks affecting those sectors than funds that have more diversified holdings across a number of sectors. The Funds anticipate that it may be subject to some or all of the risks described below.

Investing in Foreign and emerging markets involves risks relating to political, economic, or regulatory conditions not associated with investments in U.S. securities and instruments. In addition, the fund is exposed to currency risk.

The Fund is distributed by Foreside Fund Services, LLC.
