    Apax Funds fait une offre pour Norva24 – évalue la société à 6,63 milliards de couronnes suédoises (mise à jour) -Le 10 mars 2025 à 07:49

    Apax Funds, par l’intermédiaire de Nordahl BidCo, a fait une offre recommandée de 36,50 SEK par action aux actionnaires de la société d’élimination des boues Norva24, ce qui représente une prime de 58,7 % par rapport au dernier prix de clôture et valorise la société à environ 6,63 milliards de SEK.

    Le comité d’offre indépendant de Norva24 recommande à l’unanimité aux actionnaires d’accepter l’offre. Apax Funds a déjà obtenu le soutien des principaux actionnaires, notamment Valedo Partners et Briarwood Chase Management, qui représentent environ 57 % des actions. L’offre est conditionnée à la prise de contrôle par Apax de plus de 90 % des actions de Norva24, la période d’acceptation commençant le 28 mars et se terminant le 6 mai. Si l’offre aboutit, Apax prévoit de retirer Norva24 de la cote du Nasdaq Stockholm.

    “Norva24 opère dans un secteur attractif et est bien positionné sur ses marchés locaux. Nous sommes impatients de travailler avec la direction et les équipes de gestion locales pour continuer à stimuler la croissance, à la fois de manière organique et par le biais d’acquisitions. Sous la propriété d’Apax Fund, Norva24 sera en mesure d’accélérer sa vision à long terme de créer un leader mondial dans le secteur UIM, tout en continuant à fournir des services de haute qualité aux clients à travers l’Europe. Il s’agit d’une aventure passionnante, mais qui prendra du temps et nécessitera des investissements importants, et qui est donc mieux exécutée dans un environnement privé”, a déclaré Anders Meyerhoff, partenaire d’Apax Fund, dans un communiqué.

    Le soumissionnaire a obtenu l’accord de Valedo Partners, qui détient environ 29 % du capital, de Briarwood Chase Management, qui détient environ 10,8 % du capital, de Nordstjernan, qui détient 9,3 % du capital, d’Invest24, qui détient 6,9 % du capital, et d’AHB Invest, qui détient 1 % du capital.

    Selon le calendrier préliminaire, la période d’acceptation s’étendra du 28 mars au 6 mai, et le paiement de la contrepartie devrait être effectué le 13 mai.
