    en négociations exclusives pour racheter Novo Banco

    (Boursier.com) — Comme pressenti, le Groupe BPCE a signé ce jour un ‘Memorandum of Understanding’ initiant des négociations exclusives avec Lone Star Funds pour l’acquisition de 75% du capital de Novo Banco, quatrième banque du Portugal.

    Cette transaction d’un montant en numéraire de l’ordre de 6,4 milliards d’euros est la plus importante acquisition transfrontalière bancaire en zone euro depuis plus de 10 ans. Après la création de BPCE Equipment Solutions en début d’année, ce projet constitue une nouvelle étape clé dans l’exécution du projet stratégique VISION 2030, visant à développer et diversifier BPCE en France, en Europe et dans le monde. A l’issue de l’opération, le Portugal deviendrait le deuxième marché domestique retail du groupe, précise BPCE.

    Novobanco ? avec près de 9% de part de marché chez les particuliers et près de 14% chez les entreprises, compte 1,7 million de clients particuliers et gère un portefeuille de prêts aux entreprises de 17 milliards d’euros. Grâce à cette acquisition, BPCE opérerait une double diversification : géographique (en accédant à une économie dynamique) et bilantielle (en augmentant la part des crédits à taux variable à son bilan), ce qui améliorerait son profil de revenus. A l’issue de l’opération, le ratio de fonds propres CET1 du Groupe BPCE resterait supérieur à 15%.

    BPCE procédera aux consultations nécessaires avec ses instances représentatives du personnel pour pouvoir signer le contrat d’acquisition. La finalisation du projet est envisagée pour le premier semestre 2026.
