The company will invest ₹5 crore in Smartweb Internet Services Ltd and about ₹70 crore in Startup Investments (Holding) Ltd (SIHL), both wholly-owned subsidiaries. The investments will be executed through compulsorily convertible debentures (CCDs) and completed within 30 days of approval.
Smartweb, incorporated on September 23, 2015, provides internet services and undertakes advisory and consulting activities. It reported turnover of ₹41.39 crore, profit after tax of ₹5.03 crore and net worth of ₹60.91 crore as of March 31, 2025.

Info Edge will acquire 5,00,000 CCDs of face value ₹100 each. The company already holds a 100% stake in Smartweb, and the fresh capital infusion aims to support its funding requirements and strengthen its financial position.
Startup Investments (Holding) Ltd, incorporated on March 4, 2015, focuses on direct and indirect investments in tech companies and participates in AIF-related activities. SIHL reported PAT of ₹0.86 crore and a negative net worth of ₹209.50 crore as of March 31, 2025.
Info Edge will acquire 29,16,666 CCDs at an issue price of ₹240 each, including a premium of ₹140 per CCD. The investment will assist SIHL in exploring investment opportunities and meeting general corporate purposes. SIHL remains a wholly-owned subsidiary post-transaction.

Both transactions fall under related-party dealings since the entities are wholly-owned subsidiaries, but Info Edge confirmed these are executed on an arm’s length basis. No regulatory approvals are required.
Shares of Info Edge (India) Ltd ended at ₹1,340.60, up by ₹8.25, or 0.62%, on the BSE today, November 26.
