    Ocho Investments sollicite les procurations des actionnaires de Digimarc Corporation

    Le 17 avril 2025, Ocho Investments LLC a déposé une déclaration de sollicitation de procurations et a exhorté les actionnaires de Digimarc Corporation à voter lors de la prochaine assemblée annuelle de la société prévue le 7 mai 2025. Ocho Investments : (1) s’abstiendra de voter en faveur de Riley McCormack, qui, en tant que PDG, est responsable des mauvaises performances de la société et de la destruction de la valeur actionnariale ; (2) votera contre la proposition de rémunération de la société, car ce plan d’incitation a créé un désalignement entre la direction et les actionnaires, les dirigeants étant bien rémunérés tandis que les actionnaires ont perdu une valeur significative ; et (3) s’abstiendra de voter en faveur de Kathleen Kool, qui,; (2) votera contre la rémunération des dirigeants de la société, car ce plan d’intéressement a créé un déséquilibre entre la direction et les actionnaires, les dirigeants étant bien rémunérés tandis que les actionnaires ont subi une perte de valeur importante ; et (3) s’abstiendra de voter en faveur de Kathleen Kool, qui, en tant qu’ancienne présidente du comité de rémunération, a mis en place des mesures d’intéressement inadaptées et, en tant que présidente du conseil d’administration, n’a pas remédié aux mauvaises performances de la société.
