    Investing.com — La Securities and Exchange Commission (SEC) a accusé aujourd’hui BMO Capital Markets Corp., un courtier enregistré, de ne pas avoir supervisé adéquatement les employés qui ont vendu des obligations adossées à des créances hypothécaires trompeuses de décembre 2020 à mai 2023. Pour résoudre ces accusations, BMO a accepté de payer plus de 40 millions de dollars, comprenant le disgorgement, les intérêts avant jugement et une amende civile.

    Selon la SEC, les représentants de BMO ont structuré des obligations à garantie mixte adossées à des créances hypothécaires résidentielles d’une manière qui a conduit à la génération d’informations inexactes sur la composition globale des obligations par des systèmes de données tiers. Bien que sachant que les informations étaient trompeuses, BMO a envoyé des métriques sur les obligations à ses clients. Sur une période d’environ deux ans et demi, BMO a vendu pour 3 milliards de dollars de ces obligations, connues sous le nom d’Agency CMO Bonds. La SEC a constaté que les politiques et procédures de supervision de BMO ne fournissaient pas de directives sur la structure et la vente de ces obligations. De plus, BMO ne disposait pas d’un processus pour examiner les informations que ses représentants partageaient avec les clients sur les obligations ou pour comparer les structures des obligations aux communications marketing.

    Sanjay Wadhwa, directeur par intérim de la Division de l’application de la loi de la SEC, a souligné l’importance pour les entreprises d’avoir des processus de supervision adaptés à leurs unités commerciales. Il a déclaré que si BMO avait correctement supervisé la commercialisation des nouvelles émissions de titres adossés à des créances hypothécaires par son bureau Agency CMO, cela aurait pu empêcher la poursuite de ces pratiques trompeuses.

    La SEC a constaté que BMO n’avait pas raisonnablement supervisé ses représentants enregistrés impliqués dans l’offre et la vente d’Agency CMO Bonds, comme l’exige la Section 15(b)(4)(E) du Securities Exchange Act de 1934. Sans admettre ni nier les conclusions de la Commission, BMO a accepté de payer 19.417.908 dollars de disgorgement, 2.241.507 dollars d’intérêts avant jugement et une amende civile de 19 millions de dollars. La SEC a établi un fonds équitable pour la distribution de ces fonds aux investisseurs lésés.

Berelovich de l’Unité des instruments financiers complexes de la Division de l’application de la loi, avec l’aide de Harry Roback, Melissa Armstrong, Gregory Smolar, Sharon Bryant et Joshua Brodsky.
